    SoftBank’s Chip Company Arm Said to Attract Nvidia Interest


    Nvidia made an approach in recent weeks about a potential deal for Cambridge, England-based Arm, according to the people. Other potential bidders could also emerge, the people said, asking not to be identified because the information is private.
    A deal for Arm could become the biggest-ever acquisition in the chip industry, according to data compiled by Bloomberg. Arm is owned by SoftBank and its $100 billion Vision Fund. The Japanese group bought Arm, which at the time was the U.K.’s largest listed technology company, for about $32 billion in 2016.
    Shares of Nvidia have risen almost eightfold over the same period, giving it a market value of about $254 billion. They rose about 1% in New York trading Wednesday. The Santa Clara, California-based company has segued its dominance of graphics chips used by gamers into new areas such as data center AI processing, as well as a foothold in the nascent market for systems that will run self-driving cars.
    As part of the sale process, SoftBank approached Apple to gauge its interest in acquiring Arm, according to people familiar with the matter. The two firms had preliminary discussions, but Apple isn’t planning to pursue a bid. That’s because Arm’s licensing operation would fit poorly with Apple’s hardware and software business model. There may also be regulatory concerns about Apple owning a key licensee that supplies so many rivals. An Apple spokesman declined to comment.Still, the Cupertino, California-based technology giant has a vested interest the fate of Arm. The chip designer’s technology is an important component of the more than 2 billion custom processors that Apple has shipped in iPhones and other devices over the past decade. Mac computers will start relying on the technology later this year.
    SoftBank has been selling down some of its prized assets, including part of its stake in Alibaba Group Holding Ltd. and a large chunk of its holdings in wireless carrier T-Mobile US Inc. The goal is to buffer cash reserves to help withstand the economic effects of spread of Covid-19. It’s also under pressure from Paul Singer’s activist investment firm Elliott Management Corp., which has called on the company to boost stockholder value through buybacks and governance changes.

    Nvidia Corp. is in advanced talks to acquire Arm Ltd., the chip designer that SoftBank Group Corp. bought for $32 billion four years ago, according to people familiar with the matter.
    The two parties aim to reach a deal in the next few weeks, the people said, asking not to be identified because the information is private. Nvidia is the only suitor in concrete discussions with SoftBank, according to the people.
    A deal for Arm could be the largest ever in the semiconductor industry, which has been consolidating in recent years as companies seek to diversify and add scale. Cambridge, England-based Arm’s technology underpins chips in products including Apple Inc. devices and connected appliances.
    No final decisions have been made, and the negotiations could drag on longer or fall apart, the people said. SoftBank may gauge interest from other suitors if it can’t reach an agreement with Nvidia, the people said. Representatives for Nvidia, SoftBank and Arm declined to comment.
    Any deal with Nvidia, which is a customer of Arm, would likely trigger regulatory scrutiny as well as a wave of opposition from other users of the company’s technology. Other Arm clients could demand assurances that a new owner would continue providing equal access to Arm’s instruction set. Such concerns resulted in SoftBank, a neutral company, buying Arm the last time it was for sale.

    NVIDIA Could Purchase ARM after the Summer already

    There has been a lot of talk about NVIDIA purchasing ARM. The most recent chatter on that is that a deal already would be in final stages and that after the summer announcements could be made. One big question remains though, Why is ARM being sold? Softbank has purchased of the company just a four years of years ago for a whopping $32 billion, however as it seems, they paid the premium price for ARM, and it has been a to large investment for them to make sense as newstatesmen reports. CEO of Arm Holdings Tudor Brown talked to the Financial Times and stated SoftBank had invested too much in Arm. That means the company also does not have the stretch for deep investments needed resulting in unsatisfactory financial results.
    Bloomberg now indicates that the acquisition talks between Softbank and Nvidia already are in very high-level stages, the deal could even be closed right after the Summer. Talks are just talks though, selling to Nvidia isn’t certain deal, Softbank’s founder Masayoshi Son has said that an Arm IPO before 2023 is another potential option for the company. Also if there where a deal, a lot IP would be moving towards a USA based company, and that might be problem legislation wise.
    Meanwhile co-founder, Hermann Hauser is hoping the UK government will intervene to help the firm go public and remain an independent British company. However, in our opinion, Hauser should have probably made that point four years ago, when Softbank help $32 billion in front of their nose, which they all gladly accepted.

    SoftBank reportedly closing a $40 billion sale of ARM to Nvidia, announcement imminent


    According to a report from The Wall Street Journal, SoftBank and Nvidia are nearing a deal for the graphics giant to acquire ARM for $40 billion in a cash and stock transaction. SoftBank acquired Arm for around $31 billion in 2016, and in recent months has been looking to offload the chip design and IP company in an effort to mitigate losses. Nvidia has increasingly emerged as the most interested party.

    Sinceramente não gosto desta notícia, pois com a ARM na mão, eles podem e vão á partida limitar os restantes parceiros da ARM de usarem os seus processadores, sendo eles agora o fornecedor da tecnologia e possívelmente até começarem a cobrar pela utilização da mesma no restante ecosistema...
    Com um valor tão grande, eles vão claro querer recuperar o mesmo num curto espaço de tempo...

    Se não queremos uma INTEL (mas ainda pior para o consumidor) é esperar que o regulador se oponha á operação.

    Sim isso é verdade, mas quando expirarem os contratos as renegociações podem ser totalmente diferentes... E sendo esta uma arquitectura alternativa ao X86 não sei até que ponto isto não será mau para a industria como um todo...

    Na minha opinião uma empresa com a importância da ARM devia ser controlada pelos governos. Nas mãos de uma empresa privada irá sempre ser usada como arma de arremesso contra outras empresas privadas. A arquitetura ARM creio que vá matar a arquitetura x86 em uma década e será a arquitetura de facto para tudo e mais alguma coisa.

    Nvidia Buys SoftBank’s Arm for $40 Billion in Biggest Chip Deal

    Nvidia Corp. said it agreed to buy SoftBank Group Corp.’s chip division Arm Ltd. for $40 billion, taking control of some of the most widely used technology in electronics in the semiconductor industry’s largest-ever deal.
    Nvidia will pay $21.5 billion in stock and $12 billion in cash for the U.K. based-chip designer, including a $2 billion payment at signing. Softbank may receive an additional $5 billion cash or stock if Arm’s performance meets certain targets, the companies said Sunday in a statement. An additional $1.5 billion will be paid to Arm employees in Nvidia stock.


    The initial payment to SoftBank is a small premium over the $31.4 billion the Japanese company paid to acquire Arm in 2016, previously the semiconductor industry’s biggest deal. SoftBank is expected to own less than 10% of Nvidia following the transaction, according to the statement. Regulatory approval may take as long as 18 months before the transaction is completed and the deal needs sign-offs from U.K., China, the European Union and the U.S., the companies said.


    In a move to placate Arm’s powerful customers and defuse regulatory concerns, Nvidia said the U.K. company will “continue to operate its open-licensing model while maintaining the global customer neutrality that has been foundational to its success.” Nvidia will add its technology to the offerings licensed by Arm, the Santa Clara, California-based company said.
